1. Acceptance of Terms

By accessing or using Instadigs, you agree to be bound by these Terms of Service. If you do not agree, do not use our services. These terms apply to all users, including investors, developers, brokers, and visitors.

2. Platform Description

Instadigs is a platform to buy pre-construction homes online, without travelling: the buyer chooses the unit, reserves it, verifies their identity remotely, signs with legal validity and follows the construction. In transactions made through the platform, Instadigs acts as the broker: the developer pays it a commission on each sale, and Instadigs gives it back to the buyer as explained in section 5. Digger AI Agent, Instadigs' AI agent, accompanies the buyer at every step at no cost. Instadigs is not the developer or a lender: construction, delivery and quality of each unit are the responsibility of the developer selling it, and Instadigs does not guarantee the completion, quality, or value of any property listed on the platform.

3. User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials. You must be at least 18 years old to use the platform. One person or entity may not maintain multiple accounts. We reserve the right to suspend accounts that violate these terms or engage in fraudulent activity.

4. Virtual Tours and Representations

3D virtual tours on Instadigs are generated from architectural drawings and material specifications provided by the developer. While we strive for accuracy, virtual tours are representations and may not reflect the exact final product. Finishes, dimensions, and views may vary from the 3D model. Developers are contractually responsible for delivering units consistent with their approved architectural plans. Instadigs does not guarantee the accuracy of any virtual tour.

5. Reservations, Deposits, Commission and Referrals

Reservation deposits made through Instadigs are protected in one of two ways, depending on the development: held in escrow by a licensed third-party escrow agent, or guaranteed by surety bond insurance issued by an insurer in favor of the buyer for 100% of the amount paid. Instadigs never holds those funds. Guarantee terms, release conditions, and refund policies are governed by the escrow agreement or the bond policy between the buyer, the developer, and the agent or insurer. Instadigs facilitates the reservation process but is not a party to those agreements. Instadigs charges the buyer nothing. As the broker, it collects the commission on each sale from the developer and gives all of it back to the buyer, 100%, as a credit toward the down payment, on every purchase. The commission varies by project, and the amount for each purchase is confirmed in writing before it is applied.

Owners can recommend Instadigs from the app and follow their referrals. When a referral buys, the referrer receives a reward credited to their unit, as credit against what they still owe. How it is calculated depends on whether the client came through the Instadigs marketplace or is a developer's client: in the first case, the reward comes out of Instadigs' broker commission; in the second, that developer's referral program applies, with its own percentages and conditions. The amount and conditions of each case are confirmed in writing before they are credited.

You agree not to:

• Use the platform for any illegal purpose or in violation of any applicable law.
• Post false, misleading, or fraudulent property information.
• Harass, threaten, or harm other users, advisors, or developers.
• Attempt to reverse engineer, decompile, or disrupt the platform.
• Use automated tools (bots, scrapers) to access the platform without permission.
• Circumvent any security measures or access controls.

8. Intellectual Property

All content on Instadigs, including 3D models, images, text, logos, and software, is the property of Instadigs or its licensors and is protected by copyright and intellectual property laws. Developers retain ownership of their architectural plans and marketing materials. 3D tours created by Instadigs are licensed to developers for use on the platform and in their own marketing materials. Users may not reproduce, distribute, or create derivative works from platform content without written permission.

9. Limitation of Liability

To the maximum extent permitted by law, Instadigs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of profits, data, or investment returns. Our total liability for any claim shall not exceed the fees paid by you to Instadigs in the 12 months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

10. Dispute Resolution

Any disputes arising from these Terms shall be resolved before the competent courts of the local jurisdiction in which Instadigs acts as broker, with express waiver of any other jurisdiction that may correspond. Each party shall bear its own costs.

11. Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, your right to use the platform ceases immediately. Provisions relating to intellectual property, limitation of liability, and dispute resolution survive termination.

12. Changes to Terms

We may modify these terms at any time by posting the revised version on our website. Material changes will be communicated via email or platform notification at least 30 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised terms. If you do not agree to the revised terms, you must stop using the platform.
